Incorporating out of your state

Has anyone done this, specifically incorporating in Delaware or Nevada? Just curious if it’s more headache than it’s worth.

If you incorporate in DE or NV, you also incorporate in the state where you do business. That adds significant cost for limited benefits. I think it’s more hassle than it’s worth unless you are a start up and hope to sell the company or take it public.

Delaware is popular because it’s corporate provisions are favorable for anti-takeover provisions.

Nevada is popular because it is marketed as “low tax” and “more privacy.” Note that I said it is marketed as those things. The reality is that NV will not magically save you taxes in your state nor provide you with any additional privacy not available in your home state.
