I want to sell my shares of my corporation which is half to my partner. Do I need to use a Bill of Sale form to dissolve the partnership for he to own the the whole corporation???
If it’s a corporation, you can just sell your shares and document the transaction in the corporate records. I suggest a 3rd party appraisal to avoid IRS issues later.
The deal is more complex if it is a partnership. You can’t just sell a partnership interest like you can corporate shares. Legally, it is easy. Tax-wise is another matter and a CPA who deal with partnership dissolutions should be consulted.
