I have a LLC in the state of Maryland. The current purpose of the LLC is to purchase and manage real property. However, I’ve recently got licensed for home improvement, cleaning services, residential and commercial construction, and residential and commercial landscaping.
I want to amend my llc to reflect these services. Is it just a matter of simply listing the services on the amendment form? Thanks in advance.
The membership needs to vote on it and then file the amendment with the state. Read your documents carefully. A smart attorney would have drafted the documents to authorize the LLC to engage in any lawful business. A quick call to the attorney who drafted your agreement should clarify the issue.
Thanks BLL. So you’re saying that there is a possibility that I do not have to amend the LLC if the attorney drafted the original to engage in any lawful business, correct?
Yes. Here is sample language for the last partnership I established.
The general character of the partnership business shall be to engage in any lawful act or activity in which a partnership may engage, including, but without limitation, to engage generally in any and all phases of the business of owning, holding, managing, controlling, acquiring, purchasing, disposing of, or otherwise dealing in or with any interests or rights in any real or personal property, directly or through one or more other partnerships or entities or arrangements, and conduct a general business as thereto related.
